Welcome to Suika ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Suika platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

• "User" refers to any individual who accesses or uses our Services.
• "Account" refers to a registered account on our platform.
• "Content" refers to any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on our Services.
• "Subscription" refers to the paid access to premium features of our Services.

3. Account Registration and Requirements

To use certain features of our Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself.

You are responsible for safeguarding the password that you use to access our Services and for any activities or actions under your account. We encourage you to use a strong password and sign out from your account at the end of each session.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Services in any way that violates any applicable law or regulation

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services
• Attempt to gain unauthorized access to our servers or any part of our Services
• Use our Services to send unsolicited communications, promotions, or advertisements

5. Intellectual Property Rights

Our Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any Content that you submit, post, or display on or through our Services. By submitting, posting, or displaying Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content.

6. Prohibited Activities

You may not engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of our Services in any medium

• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our Services
• Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure
• Uploading invalid data, viruses, worms, or other software agents through our Services

• Using our Services for any commercial solicitation purposes without our prior written consent

7. Subscription and Payment Terms

Suika offers various subscription plans with different features and limitations:

• Free Plan: Limited to 10 tasks per project and no file attachments
• Basic Plan: Up to 60 tasks per project and 1 attachment per task
• Pro Plan: Unlimited tasks per project and up to 5 attachments per task

All payments are processed through Stripe. By subscribing to a paid plan, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to your paid features until the end of your current billing period.

8. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. If your account is terminated, we may delete any Content or other materials associated with your account.

9. Limitation of Liability

In no event shall Suika, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our Services
• Any conduct or Content of any third party on our Services
• Any Content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or Content

10. Disclaimers

Our Services are provided on an "as is" and "as available" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

11. Indemnification

You agree to defend, indemnify, and hold harmless Suika, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of another.

12. Governing Law
